Both skills are essential for legal practitioners who seek to convey precise meaning, reduce ambiguity, and protect organizational interests. This course is tailored for professionals who draft, interpret, or negotiate contracts and legal correspondence in English. Delegates will gain confidence in producing clear, accurate, and legally sound documents, including international commercial agreements drafted in English, regardless of governing law.

  • Structure and formation of commercial contracts.
  • Importance of Boilerplate Clauses:
    • No waiver, Notices, Assignment vs Novation
    • Governing law vs Jurisdiction
    • Force majeure: Common law vs Civil law
    • Dispute resolution: Litigation, Arbitration, Mediation
    • Avoiding vagueness and ambiguity in commercial contracts.
  • Drafting warranties and indemnities; negotiating Share Purchase Agreement clauses.

Module 2 – Plain English Legal Writing

  • Transitioning from legalese to clear English.
  • Removing unnecessary archaic phrases.
  • Collocations and effective word usage.
  • Writing effective legal letters: layout, register, body, and common errors.
  • Letter writing clinic: correcting informal or ambiguous sentences.

Module 3 – Legal Writing Troubleshooting

  • Addressing idioms and easily confused words.
  • Eliminating unnecessary words and ensuring consistent terminology.
  • Avoiding ambiguity, vagueness, and misuse of prepositions.
  • Gender-neutral and inclusive language in legal drafting.

Module 4 – Cross-Border Drafting Techniques

  • Differences between common law and civil law approaches.
  • Identifying jurisdictional risks and harmonizing conflicting concepts.
  • Using internationally recognized terminology to avoid translation issues.
  • Cultural awareness in cross-border contracts.

Module 5 – Summarizing Contracts for Decision Makers
