  • Preliminary documents in M&A: Heads of Terms, Confidentiality Agreements, Lockout/Exclusivity Agreements

Day 2 – Structuring the Acquisition

  • Share sale vs business sale: Advantages and disadvantages for buyers and sellers
  • Combination structures (e.g., hive down)
  • Valuation techniques: Real Estate Value, Relief from Royalty, Discounted Cash Flow, Market Multiples, Dividend Yield, Net Assets

Day 3 – Due Diligence

  • Purpose and importance of due diligence
  • Scope: Legal, Financial, Commercial, Operational
  • Identifying risks and mitigation strategies

Day 4 – Purchase Agreements

  • Share Purchase Agreement vs Asset Purchase Agreement vs Business Purchase Agreement
  • Key provisions, warranties, and indemnities
  • Negotiating warranties and contractual protections
  • Disclosure letters and intellectual property considerations
  • Stages of IP management during M&A

Day 5 - Dispute Resolution in M&A

  • Litigation, Arbitration, and Mediation options
  • Handling disputes effectively within M&A transactions

Exchange and Completion Stages

  • Preparation of seller’s and buyer’s documents
  • Managing the auction process: stages, advantages, and disadvantages for buyers and sellers
